Data Use Certificate

Hello, I wanted to enquire about who can be the "Signing Official" for the Data Use Certificate? Does it need a IRB( Institutional Review Board) member signature or their approval ? Can it be IRB waived/exempt? Any guidance on this would be appreciated. Thanks, jjoy
